Brand identity and website design
This Freelance Services Agreement (“Agreement”) is between Browse Studio and Acme & Co.. Together they are “the Parties”.
1.Services
The Service Provider will perform the following services:
Brand strategy, visual identity, and a responsive five-page marketing website.
Work is expected to begin on 1 January 1970. Dates may shift where feedback, approvals, or materials are delayed.
2.Fees and payment
The total project fee is R 23 000,00. A 50% deposit of R 11 500,00 is required before work begins. Remaining invoices are payable within 7 days. Work may be paused while an overdue amount remains unpaid.
3.Feedback and revisions
The fee includes 2 rounds of reasonable revisions. Additional requests or changes outside the agreed scope require written approval and may be quoted separately.
4.Intellectual property
Ownership of the final, approved deliverables transfers to the Client once all fees have been paid in full. Pre-existing tools, methods, fonts, software and third-party materials remain subject to their existing rights and licences.
The Service Provider may display completed, public-facing work in a portfolio and awards submissions.
5.Confidentiality
Each Party will take reasonable care to protect non-public information received through the project and use it only to perform this Agreement, unless disclosure is required by law.
6.Cancellation
Either Party may end this Agreement by giving 7 days’ written notice. The Client remains responsible for approved work completed and non-cancellable costs incurred up to the end date. The deposit is applied against these amounts.
7.General
The Parties will first try in good faith to resolve disagreements directly. Changes to this Agreement must be recorded in writing and accepted by both Parties. If one provision cannot be enforced, the remaining provisions continue to apply.
